You are able to use this website to complete an application to participate in the Ausfilm B2B Connect program (“Application”). In making an Application, you are required to provide Ausfilm your personal information, information about your company and specified information about your project/s.

Ausfilm will only collect your personal information for the purposes of your participation in the Ausfilm B2B Connect program or so that Ausfilm can send you  Ausfilm’s monthly newsletters or alerts, you can opt out of this email subscription at any time. The personal information that you provide to Ausfilm as part of the Application will only be disclosed to third parties as set out in these terms. You can access Ausfilm’s Privacy Policy here for further information about how Ausfilm uses, discloses and stores your personal information and how to contact us regarding Ausfilm’s use of your personal information.

By submitting an Application, and in consideration of the promise by Ausfilm to consider the Application and for other good and valuable consideration, the company listed in Section [1] of the Application, and the representative listed in Section [1] of the Application (the company and the representative, jointly and severally, referred to as “you” or “your”), agree with Ausfilm the following submission terms and release which, along with the other requirements of the Ausfilm B2B Connect program set out in the Application and on this website, including the guidelines and FAQs, form a legally-binding agreement between you and Ausfilm (”Agreement”).

1. You warrant that:
   • the information provided in the Application is true and correct, and satisfies all requirements of the Ausfilm B2B Connect program, including the guidelines;
   • you own, or control, all rights (including all copyright), title and interest in the project details/information submitted in Section [3] of the application, and other works, information and materials submitted in connection with the Application (together, the “Material”), and no other party has any rights in the Material;
   • the Material does not infringe the rights of any person;
   • in submitting an Application, you have the permission of third parties to provide any information about them to Ausfilm including their personal information; and
   • you have full power and authority to submit the Material in accordance with all requirements of the Ausfilm B2B Connect program and to bind you and other third parties claiming under or through you.
2. You acknowledge that:
   • if your project/s is accepted by Ausfilm for the Ausfilm B2B Connect program: (i) your project/s details set out in Section [3] Project Details of the Application, along with some or all other information set out in Sections [1] and [2] of the Application and all other Material, may appear in printed material in connection with the Ausfilm B2B Connect program; (ii) Ausfilm may provide copies of your project/s details set out in Section [3] of the Application, along with some or all of the other information set out in Sections [1] and [2] of the Application and all other Material, to US-based studios, development or production companies (“US-based Participants”), the personnel of Ausfilm that need to see the Material for the purpose of administering the Ausfilm B2B Connect program and, if Ausfilm considers the same necessary for it to obtain professional advice, to its legal or financial advisors. Your Material will not otherwise be used or passed on by Ausfilm.
   • Ausfilm does not collect your script/s and will never provide your script/s to any US-based Participant. Your script/s will only be provided by you directly to, and upon the request of, a US-based Participant.
3. Other than as set out in this Agreement, Ausfilm has no obligation to you in any respect whatsoever with regard to the Material (including, but not only, for payment).
4. Your project/s details set out in Section [3] including logline/s, or elements of your logline/s, or the script/s to which the logline/s refer may be the same as, similar to or competitive with another logline/s, script/s, or elements of another logline/s or script/s or other material (“Similar Material”) which has already been or is being or may in the future be independently considered, acquired, developed, produced or exploited by, or which has been or may in the future be submitted to, Ausfilm, Ausfilm’s corporate members and/or a US-based Participant and, without limitation, Ausfilm, each Ausfilm corporate member and each US-based Participant is as entitled to enter into any arrangement regarding Similar Material as it was entitled prior to receipt of your Application, it being acknowledged that your logline/s is/are likely to be protected by copyright laws and nothing in this Agreement alters any such protection.
5. You warrant that you will not at any time initiate or attempt to initiate any allegation, application, proceedings or claim against Ausfilm, Ausfilm Corporate members or a US-based Participant and you hereby irrevocably release Ausfilm and each US-based Participant from any allegation, application, proceedings or claim that Ausfilm and/or a US-based Participant has: (i) infringed any rights in the Material by using, acquiring, developing, producing or exploiting any Similar Material in any media in any part of the world; (ii) agreed to compensate you for the Material (unless there is a written agreement entered into by Ausfilm and/or the applicable US-based Participant (as the case may be) to the contrary); or (iii) any fiduciary obligation or confidential relationship with you (unless there is a further written agreement to the contrary), however, Ausfilm will not pass on your logline/s to anyone other than the US-based Participant, and only for the purpose of the Ausfilm B2B Connect program without your prior written approval.

6. When submitting Material to a US-based Participant, Ausfilm intends to make clear that the submission is made on a confidential basis but does not undertake to do so, nor does it intend to enter into any binding agreement directly with any such recipient US-based Participant in respect of any Material that Ausfilm submits to it. In addition, one or more US-based Participants may require you to sign other terms and conditions and/or other documents in connection with the provision of Material to them, or their consideration of Material.

   All disclosures made or facilitated by Ausfilm are for information purposes only. Whilst Ausfilm endeavours to keep its information up-to-date and correct, Ausfilm makes no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability or availability with respect to such information. Any reliance you place on such information is therefore strictly at your own risk.

7. If your Application is not accepted by Ausfilm for the Ausfilm B2B Connect Program your project details will be destroyed and will not be returned to you, and if you are accepted by Ausfilm for the Ausfilm B2B Connect program your Application will be destroyed upon completion of the Ausfilm B2B Connect program and will not be returned to you. An email will be issued by Ausfilm certifying the destruction of such details and shall be conclusive proof of the same. The Application fee will not be refunded.
8. If any provision or part of any provision of this Agreement is in any way unenforceable, invalid or illegal, it is to be read down so as to be enforceable, valid and legal. If this is not possible, the provision (or where possible, the offending part) is to be severed from this Agreement without affecting the enforceability, validity or legality of the remaining provisions (or parts of those provisions) which will continue in full force and effect.
9. The laws applicable in New South Wales, Australia, govern any dispute in connection with this Agreement.
10. All references to Ausfilm and US-based Participants include their affiliated entities and its and their officers, directors, members, employees, agents, representatives, successors, assigns and licensees.
